Terms of Service

1. Acceptance of Terms

By accessing or using CleanRoll.ai ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

CleanRoll.ai is operated by CleanRoll Technologies LLC ("Company", "we", "us", or "our"). We reserve the right to modify these Terms at any time. Continued use of the Service after modifications constitutes acceptance of the updated Terms.

2. Description of Service

CleanRoll.ai provides AI-powered rent roll standardization services for commercial real estate professionals. The Service allows users to:

• Upload rent roll documents in various formats (Excel, CSV, PDF)
• Automatically detect and map column data to a standardized schema
• Export standardized rent roll data in multiple formats
• Save column mapping templates for future use
• Aggregate multiple rent rolls into portfolios
• Access historical tracking and trend analysis
• Use our API for programmatic access (where applicable to your plan)

3. Account Registration

To use certain features of the Service, you must create an account. You agree to:

• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account

You must be at least 18 years old to create an account. Accounts registered by automated methods are not permitted.

4. Pricing and Payment

CleanRoll.ai offers the following pricing tiers:

• Free Trial: 3 documents total (one-time, no credit card required)
• Pay-as-you-go: $19 per document
• Starter: $49/month for 15 documents
• Pro: $99/month for unlimited documents

Subscription fees are billed in advance on a monthly basis. Unused credits do not roll over to the next billing period. All fees are non-refundable except as expressly stated in these Terms or required by law.

We reserve the right to modify pricing with 30 days' notice. Price changes will take effect at the start of your next billing cycle.

5. Refund Policy

If you are not satisfied with the quality of a processed rent roll, you may request a refund within 7 days of processing. Refunds are issued at our discretion and may be provided as:

• A credit to your account for future use
• A refund to your original payment method

Subscription refunds are not available for partial months. You may cancel your subscription at any time, and it will remain active until the end of your current billing period.

6. User Content and Data

You retain all ownership rights to the documents and data you upload to the Service ("User Content"). By uploading User Content, you grant us a limited license to:

• Process and transform your data to provide the Service
• Store your data securely on our servers
• Create anonymized, aggregated statistics (no personally identifiable or property-specific information)

You represent and warrant that you have the right to upload all User Content and that doing so does not violate any third-party rights or applicable laws.

Data Retention: Uploaded files and processed data are retained for 30 days after processing, after which they are automatically deleted. You may request earlier deletion by contacting support or deleting your account.

7. Privacy and Security

Your privacy is important to us. Our data handling practices include:

• All data is encrypted in transit using TLS 1.3
• All data is encrypted at rest using AES-256 encryption
• We do not sell or share your data with third parties
• AI processing is performed using secure API connections
• Payment information is handled securely through Stripe

8. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Upload malicious files or attempt to compromise our systems
• Attempt to access other users' accounts or data
• Resell or redistribute the Service without authorization
• Use automated scripts to access the Service outside of our API
• Interfere with or disrupt the Service's infrastructure
• Upload content that infringes intellectual property rights

Violation of these terms may result in immediate account suspension or termination.

9. API Usage

If your plan includes API access, the following additional terms apply:

• API keys are confidential and must not be shared publicly
• You are responsible for all activity under your API keys
• Rate limits apply as documented in our API documentation
• We may suspend API access for abuse or excessive usage

10. Intellectual Property

The Service, including its original content, features, and functionality, is owned by CleanRoll Technologies LLC and is protected by copyright, trademark, and other intellectual property laws.

"CleanRoll" and the CleanRoll logo are trademarks of CleanRoll Technologies LLC. You may not use these marks without our prior written consent.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Service will be uninterrupted or error-free
• AI-generated mappings will be 100% accurate
• The Service will meet all of your requirements
• Any errors in the Service will be corrected

You acknowledge that AI-powered features involve automated processing that may occasionally produce incorrect results. You are responsible for reviewing and verifying all output data before relying on it for business decisions.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLEANROLL TECHNOLOGIES LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE.

Our total liability for any claims arising from the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

13. Indemnification

You agree to indemnify and hold harmless CleanRoll Technologies LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

14. Termination

You may terminate your account at any time by contacting support or using the account deletion feature in your settings. We may terminate or suspend your account immediately, without prior notice, for conduct that we believe:

• Violates these Terms
• Is harmful to other users or our business
• Is fraudulent or illegal

Upon termination, your right to use the Service will immediately cease. Sections 6, 10, 11, 12, 13, and 16 shall survive termination.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or by posting a notice on the Service. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved in the state or federal courts located in Delaware.
